HealthCare Global Enterprises Limited is committed to a high standard of Corporate Governance and adherence to appropriate structure and reporting system as required by public limited companies in India.
HCG Board has representation from the Promoter group and the Investor group including VC funds. HCG’s Board, led by a Dr. B.S.Ajai Kumar Chairman, comprises of 9 members including two nominees from Investor Group.
The Board acknowledges responsibility for HCG’s systems of internal control and effectiveness. The systems installed are intended to manage and eliminate the risk associated with business activities, to the extent possible. HCG adheres to good practices of financial reporting and has set up an Audit Committee to review and assess the internal controls and financials as well as to advice on matters in order to mitigate risk. The committee reports its findings and recommendations in writing, directly to the board.

Dr. B.S. Ajai Kumar, MD, Chairman and Chief Executive Officer:

Dr.B.S.Ajai Kumar is a radiation and medical oncologist with 30 years of experience in the US and India in the delivery of cancer care and the management of cancer centres. Dr. Ajai Kumar was a founder of Bangalore Institute of Oncology (BIO) in 1986 and acquired the Curie Centre of Oncology in 2000. He also founded the Bharath Hospital in 1990. Dr. Ajai Kumar practised in the US as an oncologist from 1979 through 2002 and successfully established oncology physician practices in Burlington, Iowa and later in Chicago, Illinois. He relocated to India in 2002 to focus on building the cancer centres under HCG. Dr. Ajai Kumar received his MBBS from St. John’s Medical College, Bangalore. He undertook residency training in oncology at the University of Virginia, Charlottesville followed by fellowships in Radiation Oncology and Medical Oncology at the M.D Anderson Cancer Centre, Houston. Dr Ajai Kumar is also the Chairman of the International Human Development & Upliftment Academy (IHDUA). He was awarded ‘Face of the year 2006’ by Modern Medicare. He has also received prestigious B.C.Roy Award and Kannada Rajyotsava award.

Mr. Gans Ganapati, Director
Mr. Gans Ganapati, Director, brings to HCG over 15 years of business leadership and M&A experience at CSFB in New York and Palo Alto and previously at Tata Industries Limited in Bombay. Gans was the founding CEO of Triesta Sciences, which was acquired by HCG in 2005. Previously Gans was Vice President, Mergers and Acquisitions at CSFB. From 1989 to 1994 Gans worked with Tata Industries as a member of the TAS where he was associated with the Group’s pharmaceutical and life sciences interests. Gans received his MBA from the Wharton School and is a graduate of the Indian Institute of Technology, Madras and the Indian Institute of Management, Ahmedabad. Gans serves on the board of directors of HCG and Triesta Sciences.

Mr. V. Vasudevan, Wholetime Director & Chief Financial Officer

Mr. V. Vasudevan, Wholetime Director & Chief Financial Officer, is a finance professional with over 30 years of industry experience. A Chartered Accountant by training, Mr. Vasudevan came to HCG in 2000 following the acquisition of Curie. Previously Mr. Vasudevan served as the CFO of Soni Medical Systems in Bangalore. Mr. Vasudevan also received a Masters in Business Law from the National Law School, Bangalore. Mr. Vasudevan with his multifaceted expertise and meticulous knowledge in the area of corporate finance heads the finance team of HCG. Mr. Vasudevan is a Wholetime Director and Chief Financial Officer of the Company.

Dr. Ganesh Nayak, MD, MS, Director
Dr. Ganesh Nayak is a leading cardio thoracic surgeon in the city of Bangalore and is a consultant at several of the leading tertiary care centres in the city. Dr. Nayak undertook training in surgery at the University of South Carolina, prior to returning to India in 1981. Dr. Nayak is a member of the board of directors of HCG. Dr. Ganesh Nayak is the Managing Director of BIO.

Prof. M.S Gopinath
Prof. M.S Gopinath, a senior Surgical Oncologist and a founder member of Bangalore Institute of Oncology, was the National President, Indian Association of Surgical Oncologists 2003- 04. He was the National President, Association of Surgeons of India (HQs), Chennai, 2006. He did his Advanced Training in Surgical Oncology at Memorial Sloan Kettering Cancer Center, New York and MD Anderson Institute Texas, U.S.A. He pioneered the conservative breast surgery with reconstruction for the breast cancer patient. Having number of awards to his credit, he was also the recipient of the prestigious “RAJYOTSAVA AWARD 2005” from the Government of Karnataka. He is the joint editor, Indian Journal of Surgery from the year 2003 and member editorial committee, Indian Journal of Cancer. He has more than 50 papers and about 150 presentation monograms on breast cancer, oral cancer, updates in surgery etc to his credit. He is also the president of Ostomates India, which is into rehabilitation of ostomates

Dr.Anula Jayasuriya, Director
Dr.Anula represents Evolvence India Life Sciences Fund LLC, on the Board of HCG. Dr.Anula is a venture capitalist with over 20 years of research and business leadership experience in the biotechnology and pharmaceutical industries. She has served as a Partner at Skyline Ventures, an early stage biotechnology venture capital firm based in Palo Alto, CA as well as at TVM a US-German biotechnology venture capital firm. Prior to becoming a venture capitalist, Dr.Jayasuriya served as Vice President, Corporate Development at Genomics Collaborative, Inc. and as Vice President, Clinical Development, Infectious Diseases at Roche Pharmaceuticals. Dr. Anula received an MD and PhD (in Microbiology and Molecular Genetics) from Harvard Medical School. She interned in Pediatrics at Boston Childrens Hospital. She also received an MBA with distinction from Harvard Business School.

Mr. Michael P.Pinto, Independent Director
Mr. Michael Pinto assumed charge as Vice Chairman of the 5th National Commission for Minorities on 20th July 2006. He graduated from Madras University before securing a Masters Degree from the Delhi School of Economics. He later studied at Harvard University where he was awarded the degree of Master of Public Administration. Mr. Pinto began his career as a Management Trainee with Hindustan Lever Ltd. On his selection to the Indian Administrative Service he joined the Government and served in various positions such as CEO of the Maharashtra Industrial Development Corporation VC and MD of the Maharashtra State Road Transport Corporation, Chairman Maharashtra State Electricity Board etc in the government of Maharashtra. His postings in the Government of India include Chairman Handicrafts and Handlooms Export Corporation, Chairman Central Cottage Industries Corporation, Minister (Economic) in the Embassy of India in Paris, Director General (Shipping), Chairman JN Port and Secretary (Shipping). Following his retirement he chaired the Board for Reconstruction of State Enterprises in Maharashtra. As an expert in the field of maritime affairs, Michael Pinto forcefully articulated India’s stand at several international forums like the International Association of Ports and Harbours, (IAPH), the OECD, ILO and IMO. He is the first and so far the only Indian to be elected as Vice Chairman of the Council of IMO. He writes frequently in technical and other journals and is a well known speaker at seminars and conferences especially those dealing with infrastructure. Mr. Pinto is also appointed as an independent Director on the Board of many Companies His long experience in the maritime field and his familiarity with commercial matters has led to his appointment as an independent arbitrator in commercial disputes between different companies.

Mr.P.Dayananda Pai, Director
Mr Dayananda Pai, Chairman and Managing Director-Century Group, is a doyen in the field of Real Estate with over 30 years of experience. Mr.Pai started Century Building Industries (P) Limited, the flagship company of the Century Group, dealing in property development in Bangalore and other parts of Karnataka. From humble beginnings, the Century Group, under the leadership of Mr.Pai, has grown to be a diversified conglomerate with interests in property development, education, hospitality, trading and construction. After graduating with a Bachelor in Science from Government college, Mangalore, Mr.Pai did his Bachelor in Law from Sharada Vilas Law College, Mysore and graduated in Mechanical Engineering from Sri Jayachamarajendra College of Engineering, Mysore. Mr.Pai is one of the founders of the highly reputed Vidyasagar and Vidyashilp schools in Bangalore and the Governing Body member of Belimut Engineering College, Nelamangala. He is also a Trustee in Chitrakala Parishad and Bharathiya Vidya Bhavan. He is associated with several other Educational, Charitable and Cultural organisations in Bangalore. At present, Mr.Pai is a Director in several companies engaged in Real Estate, Hospitality, Finance and Leasing, Consumer products and Education. Mr.Pai is a sport aficionado and has also traveled the World extensively to more than 40 Countries. Mr.Pai had been the President of Rotary Club Bangalore, R.T.Nagar and the President of most prestigious Bangalore Club. At present, he is also the Vice-President of Karnataka State Table Tennis Association.
